Welcome to Bailey’s Assets (“Company,” “we,” “our,” or “us”). These Terms & Conditions govern your use of our website, services, and Task Manager platform.

By purchasing services, submitting tasks, or using our platform, you agree to these Terms in full.

1. Overview of Services

Bailey’s Assets provides:

  • Chief Marketing & Technology Officer (CMTO) services

  • Task Manager execution services (hour-based task fulfillment)

  • Marketing, automation, and technology consulting

Our services are delivered through a structured system designed to provide clarity, efficiency, and measurable progress.

2. Task Manager Services

Task Manager is our execution system for completing client requests.

How It Works

  • Clients purchase hours in advance

  • Tasks are submitted through our system

  • Work is completed based on priority, scope, and clarity

Turnaround Times

  • Standard Tasks: 3–7 business days

  • Urgent Tasks (<3 days): Subject to approval and billed at a higher rate

  • Complex Projects: Require custom scoping

Turnaround times are estimates and not guaranteed.

3. Billing & Payments

  • Services are billed based on hour usage or prepaid hour blocks

  • Payment is required in advance unless otherwise agreed

  • Recurring services are billed monthly on the original signup date

Failure to maintain a valid payment method may result in service interruption.

4. Hour Usage & Expiration

  • All work is deducted from purchased hours

  • Time is tracked internally by Bailey’s Assets

  • Partial hours may be rounded appropriately

Expiration Policy

  • Hours must be used within the active billing period

  • Unused hours are non-refundable and do not roll over, unless otherwise stated

5. Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information

  • Supply necessary access, credentials, and assets

  • Respond promptly to requests for clarification

Delays caused by missing information may impact timelines and delivery.

6. Communication & Workflow

To maintain efficiency and clarity:

  • Communication occurs through designated channels (Task Manager, email, or approved tools)

  • Real-time support is not guaranteed unless included in scope

  • Updates are provided at key milestones or completion

Support Calls & Time Allocation

We offer support calls to discuss active projects and ensure alignment, clarity, and progress.

  • Time spent on support calls is included as part of the total time allocated to the associated task(s) or project

  • Each project includes up to 30 minutes of support call time

  • Any calls scheduled beyond this allotted time will be billed separately as a new task submission at the applicable billable rate

  • Unused support call time does not roll over between projects or billing periods

7. GHL Account Ownership & Transfer

If your Go High Level (GHL) account is hosted under Bailey’s Assets:

  • You retain full ownership of all data, contacts, funnels, workflows, and assets

  • Your account will be transferred upon request after all outstanding balances are paid in full

  • Transfers are completed within a reasonable timeframe

  • We are not responsible for disruptions or third-party changes during transfer

We reserve the right to withhold transfer until all obligations are satisfied.

8. Phone Numbers & Platform Assets

  • Any phone numbers provided remain the property of Bailey’s Assets

  • Use is granted only during an active service relationship

  • Access may be revoked upon termination

9. Client Content & Compliance

You represent and warrant that:

  • You own or have rights to all content submitted

  • Your content is accurate and lawful

  • Your use of our services complies with all applicable laws

You agree not to request or submit work involving illegal, misleading, or unethical activity.

Bailey’s Assets is not responsible for verifying client-provided content.

10. Acceptable Use

We reserve the right to refuse or terminate services if you:

  • Violate laws or platform policies

  • Engage in unethical practices

  • Misuse systems or integrations

11. Indemnification

You agree to indemnify and hold harmless Bailey’s Assets and its team from any claims, damages, or legal expenses resulting from:

  • Your use of our services

  • Your violation of these Terms

  • Any content or data you provide

12. Privacy

Your data is handled in accordance with our Privacy Policy

We prioritize data security, confidentiality, and responsible use of information.

13. Cancellation Policy

  • Either party may terminate services with 14 days written notice

  • All completed work will be billed

Prepaid Hours

  • Non-refundable

  • Must be used within the billing period

Minimum Commitments

  • Early termination may result in fees equal to remaining committed hours

14. Non-Payment

If payment fails:

  • You will be notified and given 7 days to resolve

  • Services may be suspended after 7 days

  • Accounts may be terminated after 30 days

We may:

  • Charge reactivation fees

  • Use collections if necessary

We may terminate services if:

  • Terms are violated

  • Payments are not made

  • Risk or disruption occurs

Effect of Termination

  • Access to services ends immediately

  • Outstanding balances become due

  • Data may be deleted without liability

16. Limitation of Liability

We do not guarantee:

  • Specific results or revenue

  • Lead generation outcomes

  • Platform performance

Services are provided based on best practices and available data.

17. Disclaimer

Services are provided “as-is” and “as-available.”

We are not liable for:

  • Third-party platform outages

  • System errors or interruptions

  • External factors beyond our control

18. Confidentiality

Both parties agree to protect confidential information shared during service.

This includes:

  • Business data

  • Strategies

  • Systems and workflows

This obligation survives termination.

19. Entire Agreement

These Terms represent the full agreement between you and Bailey’s Assets and supersede all prior agreements.

20. Governing Law

These Terms are governed by the laws of the State of Wyoming.

All disputes will be handled in Wyoming courts.

21. Severability

If any provision is found unenforceable, the remaining Terms remain in effect.

22. Modifications

We may update these Terms at any time. Continued use of services constitutes acceptance of updates.
